So you are running a 4.0.2 ROM and flashed franco kernel, now the phone won't boot? Did you make a nandroid backup? Can you boot into recovery?

and cant access download mode ( Vol - , pow)

How were you trying to flash 4.0.2? How did you root the phone?

I root the phone by the Galaxy Nexus Root Toolkit V1.3 before i flash to 4.02. At that time, the phone was smooth and usable. Then yesterday i tried to flash to 4.02 with Toolkit V1.3 and the nightmare comes ..

I'd keep trying these in an attempt to get in. Bootloader mode specifically. I don't know of any GSM Odin files so I don't think download mode will do any good unless someone else knows where to find the GSM file. Make sure you're holding both of the volume buttons when you press the power button. You could also try starting with the battery removed from the phone. Securely hold all 3 buttons while putting the battery back in. If it won't go, I'm afraid I won't have much else to offer in the way of a solution.
